What Nabi is

Nabi ("Nabi," "we," "us") is an AI receptionist for elective-care clinics. Clinics that use Nabi connect a phone number so Nabi can text with their customers about appointments.

Who these Terms apply to

These Terms and Conditions ("Terms") govern two related but distinct relationships: clinics that subscribe to Nabi to run their front desk ("Clinics," "you" when subscribing), and anyone who texts, DMs, or otherwise interacts with a clinic that uses Nabi ("Customers," "you" when messaging). Browsing this site or messaging a Nabi-connected clinic means you accept these Terms; a Clinic accepts them again, on behalf of its business, when its authorized representative completes onboarding.

Eligibility

You must be at least 18 years old, and if you're accepting these Terms on behalf of a clinic, you must be authorized to bind that business. Nabi is built for elective-care and cosmetic clinics; we may decline or suspend access for a business we determine, in our reasonable judgment, isn't a good fit for the platform.

Clinic Subscriptions

Nabi doesn't offer self-serve sign-up. Every clinic is onboarded directly by our team after a demo, and we provision your dashboard account, phone number, and any connected calendar or Instagram account as part of that setup. Once onboarded, subscription fees are billed monthly in advance through Stripe to the payment method on file, and plans renew automatically each billing period until cancelled.

You can cancel anytime from the dashboard's Billing page or by emailing us. Access continues through the end of the current paid period, and we don't provide refunds for partial periods except where required by law. Clinic staff accounts you create are your responsibility: keep credentials confidential and tell us promptly about any unauthorized access.

Acceptable Use

You agree not to: use Nabi to send unsolicited or non-compliant marketing texts; impersonate another business or person; attempt to reverse-engineer, scrape, or interfere with the Service or its underlying models; upload content you don't have the right to share; or use Nabi for any clinic offering services that are illegal, deceptive, or that we determine pose a safety or reputational risk, such as unlicensed medical procedures. We may suspend or terminate access for violating this section without refunding prepaid fees.

Nabi SMS Program

When you text a clinic that uses Nabi, or provide your phone number to book an appointment, you may receive text messages related to that appointment, including booking confirmations, reschedule and cancellation confirmations, and appointment reminders.

  • Message frequency varies based on your appointment activity with the clinic.
  • Message and data rates may apply.
  • Reply HELP for help. Reply STOP at any time to opt out of further messages.
  • Carriers are not liable for delayed or undelivered messages.

Consent

You consent to receive these text messages by texting a clinic's Nabi-connected phone number, or by providing your phone number to a clinic (in person, by phone, or through the clinic's own booking process) to schedule an appointment. Consent to receive texts is not a condition of purchasing any goods or services. See our SMS opt-in page for details on each of these paths.

SMS Opt-In Message (Call-to-Action Evidence)

The instant a patient's phone number is used with Nabi for the very first time, before any other message, Nabi's system automatically sends this text. It is not written by hand by clinic staff. It fires unconditionally from the same code path on every first contact, regardless of channel:

Nabi: You're opted-in to appointment texts from Example Clinic. Msg & data rates may apply. Reply HELP for help, STOP to opt out.

"Example Clinic" is replaced with the real clinic's name. This single message carries all of the required disclosures above, delivered directly to the patient's phone before any conversational reply.

Every clinic's Nabi dashboard (Settings → Phone number) also gives them this exact, pre-written disclosure to publish on their website, booking confirmations, and any signage, next to their Nabi-connected number, so patients see it before they opt in:

The dashboard fills in the clinic's real name and number and gives staff a one-click "Copy" button for this text, so the same disclosure is used everywhere the number is published. See our SMS opt-in page for the full detail on each opt-in path.

Not Medical Advice

Nabi is scheduling, communication, and front-desk software. It is not a medical provider, does not practice medicine, and nothing Nabi says to a Customer is medical advice. Clinics remain solely responsible for the clinical services they perform, the accuracy of the intake and consent information Nabi collects on their behalf, and compliance with the licensing and health-privacy laws that apply to their practice.

Intellectual Property

Nabi and its licensors own all rights in the Nabi software, models, dashboard, and branding. Subscribing to Nabi gives a Clinic a limited, non-exclusive, non-transferable right to use the Service for its own business during its subscription. Nothing in these Terms transfers ownership of that software to you. A Clinic keeps ownership of its own business data (customer lists, appointment history, content it uploads); by using Nabi, it grants us the right to process that data to provide and improve the Service, as described in our Privacy Policy.

Service Availability & Changes

We work to keep Nabi available and reliable, but we don't guarantee uninterrupted service. Messaging and calendar features depend on third parties (Twilio, Meta, Google, Supabase) outside our control, and we may need to take the Service down briefly for maintenance or updates. We may add, change, or remove features over time; if a change materially reduces what a Clinic's paid plan includes, we'll give reasonable notice.

Disclaimer of Warranties

Nabi is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that Nabi's AI-generated replies will always be accurate, that the Service will be error-free, or that it will meet every Clinic's specific requirements.

Limitation of Liability

To the fullest extent the law allows, Nabi AI Services, Inc. and its officers, employees, and licensors won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Service, even if we've been advised of the possibility. Our total liability for any claim relating to the Service is limited to the fees the Clinic paid us in the three months before the claim arose. This limitation doesn't apply to liability that can't be limited under applicable law, such as for our gross negligence, willful misconduct, or a breach of the SMS consent obligations above.

Indemnification

A Clinic agrees to indemnify and hold Nabi AI Services, Inc. harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from the Clinic's use of the Service, the clinical services it provides, its violation of these Terms, or its violation of any law or a third party's rights.

Termination

Either party may terminate a Clinic's subscription as described in "Clinic Subscriptions" above. We may also suspend or terminate access immediately if a Clinic materially breaches these Terms, including the Acceptable Use section, or if required to comply with the law or a request from Twilio, Meta, or another provider we rely on to deliver the Service. Sections that by their nature should survive termination, including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law, continue to apply after termination.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or your use of Nabi will be resolved in the state or federal courts located in Delaware, and you consent to that jurisdiction and venue.

Changes to These Terms

We may update these Terms as Nabi evolves. If we make a material change, we'll update the date at the top of this page and, for active Clinic subscribers, provide notice by email or through the dashboard before the change takes effect. Continuing to use Nabi after a change takes effect means you accept the updated Terms.
